Dispute Resolution and Arbitration Agreement
READ THIS SECTION CAREFULLY
THIS SECTION CONTAINS AN ARBITRATION AGREEMENT WHICH WILL, WITH LIMITED EXCEPTIONS, REQUIRE YOU TO SUBMIT CLAIMS YOU HAVE AGAINST VALUSIGNAL TO BINDING AND FINAL ARBITRATION. YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST VALUSIGNAL ON AN INDIVIDUAL BASIS, NOT AS PART OF ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING. YOU HAVE THE RIGHT TO OPT OUT OF THIS ARBITRATION AGREEMENT AS PROVIDED BELOW.
Agreement to Arbitrate
You and ValuSignal agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site or participation in ValuSignal events (collectively, "Disputes") will be settled by binding arbitration, except that each party retains the right to:
- Seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights
- Bring an individual action in small claims court for claims within the court's jurisdiction
Arbitration Rules and Forum
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision. Arbitration shall be initiated through the American Arbitration Association ("AAA") and will be governed by the AAA Consumer Arbitration Rules, as modified by these Terms, effective as of the date of the arbitration demand.
The AAA Rules and filing forms are available online at www.adr.org, by calling the AAA at 1-800-778-7879, or by contacting ValuSignal.
The arbitrator has exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this binding arbitration agreement.
Arbitration Process
- Notice of Dispute: Before initiating arbitration, a party must first send to the other party a written Notice of Dispute describing the nature and basis of the claim or dispute and the requested relief. A Notice to ValuSignal should be sent to: ValuSignal, LLC, [INSERT FULL ADDRESS - to be added], Attn: Legal Department. After the Notice is received, you and ValuSignal may attempt to resolve the claim or dispute informally for 60 days.
- Arbitration Location: If the parties do not reach an agreement to resolve the claim within 60 days after the Notice is received, either party may commence arbitration proceedings. The arbitration shall take place in Collin County, Texas, or another mutually agreeable location. For disputes involving $25,000 or less, the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a telephonic hearing, or through a video conference hearing as you and ValuSignal may mutually agree.
- Arbitrator's Decision: The arbitrator will render an award within the time frame specified in the AAA Rules. The arbitrator's decision will include the essential findings and conclusions upon which the arbitrator based the award. Judgment on the arbitration award may be entered in any court having jurisdiction thereof. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim.
Arbitration Fees
Payment of all filing, administration, and arbitrator fees will be governed by the AAA Rules, unless otherwise stated in this arbitration provision. If the value of the relief sought is $10,000 or less, at your request, ValuSignal will pay all filing, administration, and arbitrator fees associated with the arbitration. Any request for payment of fees by ValuSignal should be submitted by mail to the AAA along with your Demand for Arbitration and ValuSignal will make arrangements to pay all necessary fees directly to the AAA. If the value of the relief sought is more than $10,000 and you are able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, ValuSignal will pay as much of the filing, administration, and arbitrator fees as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive.
